Welcome to VantageOS. These Terms of Service ("Agreement") govern your access to and use of the VantageOS platform, the Operating System for Speed to Capability (the "Platform" or "Service"). By accessing or using VantageOS, you ("Client," "You," or "Your") agree to be bound by this Agreement.

VantageOS is deeply embedded infrastructure designed to analyze and close the Velocity Gap between strategic intent and operational readiness. Due to the sensitive and strategic nature of the Contextual Intelligence we process, please review these terms carefully.

1. DATA OWNERSHIP, LICENSING, AND CONTEXTUAL INTELLIGENCE

1.1 Customer Data Ownership
The Client retains all right, title, and interest in and to all raw data, strategic inputs, financial metrics, and personnel records submitted by the Client into the Platform, including data uploaded via the Pro-Forma Wizard and raw employee reviews (collectively, "Customer Data").

1.2 License to VantageOS
By submitting Customer Data to the Platform, the Client grants Alcazar Systems a perpetual, worldwide, non-exclusive, royalty-free license to ingest, host, process, analyze, and display this data strictly for the purpose of providing, maintaining, and improving the Service, including the generation of "Winning DNA" formulas and Speed to Capability (StC) calculations.

1.3 Aggregated & Anonymized Data (Macro-Vertical Intelligence)
Alcazar Systems reserves the right to aggregate and anonymize Customer Data. The Client agrees that any aggregated, anonymized insights, macro-vertical intelligence, industry benchmarks, or predictive models generated by the Platform from such data shall become the sole and exclusive property of Alcazar Systems. This data will be used to build and refine Industry Platforms (e.g., Healthcare, Clean Energy, Advanced Manufacturing) and evaluate general "Capability Drag" across sectors, without ever identifying the Client or any individual employee.

2. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

2.1 Ownership of the VantageOS Architecture
Alcazar Systems retains all intellectual property rights in and to the Platform, including but not limited to the underlying algorithms, the proprietary 181-cluster taxonomy, the Socratic Learning Engine, the 360 Perspective Tool logic, and all Sector Overlay matrices.

2.2 Restriction on Derivative Works and Reverse Engineering
The Client is granted a limited, non-transferable right to use the Platform for internal Capability Orchestration. The Client shall not, under any circumstances:

• Reverse engineer, decompile, or attempt to extract the source code or underlying mathematical logic of the Platform.

• Use the Platform, the 181-cluster taxonomy, or Sector Overlays to build a competing internal human resources tool, commercial product, or standalone assessment methodology.

• Extract, scrape, or export the proprietary methodology for use outside of the active VantageOS environment.

3. INDUSTRY-SPECIFIC COMPLIANCE AND SECURITY

3.1 Regulatory Alignment and Data Handling
VantageOS integrates with complex enterprise environments, including electronic health records (EHR) and SCADA systems. The Client is solely responsible for ensuring that any data transmitted to VantageOS complies with applicable industry regulations (e.g., HIPAA in Healthcare, GDPR, CCPA). Alcazar Systems acts strictly as a data processor.

3.2 Security Posture
Alcazar Systems agrees to maintain industry-standard administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of Customer Data, specifically safeguarding the "Red Zones" of the Client’s strategic vulnerabilities. In the event of a verified data breach compromising Customer Data, Alcazar will notify the Client in accordance with applicable legal requirements.

4. DISCLAIMERS AND LIMITATION OF LIABILITY (THE PREDICTION GUARDRAIL)

4.1 No Guarantee of Business Success or Execution
VantageOS calculates mathematical formulas for operational success and provides predictive forecasting via Speed to Capability (StC) Analysis. However, Alcazar Systems provides the Platform "as is." We explicitly disclaim any liability for the Client's failure to execute their strategy, hit target implementation dates, or achieve revenue goals. The identification of a strategic gap or the "Long Pole in the Tent" does not guarantee organizational success.

4.2 Employment, Hiring, and Compliance Decisions
Features such as the Strategic Matchmaker, Pipeline Builder, and resulting "Skills Confidence Scores" are advisory tools designed to eliminate Resume Bias. They do not constitute legal or human resources advice. The Client retains absolute and sole legal responsibility for all hiring, promotion, termination, and compensation decisions, and must ensure all such actions comply with applicable local, state, and federal employment and anti-discrimination laws. Alcazar Systems bears no liability for employment decisions made using Platform insights.

5. AUTHORIZED USE AND THE CONSULTANT NETWORK

5.1 User Definitions
Access to the Platform is restricted to authorized direct employees of the Client and formally approved external consultants or advisors engaged by the Client. The Client is responsible for all activities conducted under its authorized user accounts.

5.2 Specialized Consultant Access
If the Client’s VantageOS environment is established, managed, or accessed by an independent consultant from the Alcazar Specialized Consultant Network, the Client acknowledges that the consultant acts as an independent entity and not as an employee of Alcazar Systems. Handover protocols, data privacy boundaries, and administrative access between the Client and the consultant must be governed by a separate agreement between those two parties. Alcazar Systems is not liable for any breach of confidentiality committed by third-party consultants.

By executing a Service Order or logging into the VantageOS platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
